1. Who we are
The website ballastprotocol.com and the process-documentation services we provide (together, the “Service”) are operated by BEAVELA, obrt za informatičke usluge, vl. Beata Parun.
“Ballast Protocol” is our brand name; “we”, “us”, and “our” refer to the legal entity at the end of this page. These Terms of Service (the “Terms”) govern your use of the website and every engagement in which we provide services to you, unless a written agreement between us states otherwise.
2. What we do
We turn a process recording — optionally together with screenshots and plain-text supporting files — that you provide to us into draft process documentation: a Process Design Document (PDD), a Solution Design Document (SDD), and a Gap & Question sheet. The work runs in stages: you receive each stage’s output for review, provide corrections and answers to open questions, and approve it before we continue. Recordings may be in any major European language. Deliverables are produced in English.
3. Business customers only
Our services are offered exclusively to companies, sole traders, and professionals acting for purposes relating to their trade, business, craft, or profession. By engaging us you confirm that you are acting in such a business capacity. Our services are not offered to consumers.
4. How an engagement works
An engagement begins when you contact us and we confirm the work in writing (email is sufficient): what will be documented, the material you will provide, the deliverables, the price, and the expected timeline. Work starts only after you accept that written confirmation. If, during the work, the scope turns out to be materially different from what was confirmed, we will tell you before continuing, and any change to price or timeline is agreed in writing before it applies.
5. Your material and cooperation
You provide the process recording and any screenshots and supporting files, and you make the people who can review drafts and answer open questions available within the timeline agreed for the engagement. Delays in providing material, reviews, or answers extend the timeline accordingly.
6. Prices and payment
The price for each engagement is stated in the written confirmation before work begins. 20% of the price is payable in advance, and work starts after we receive it. The remainder is invoiced on delivery of the final deliverables and is payable within 8 days of the invoice date. If prices for future engagements change, this has no effect on an engagement already confirmed in writing.
7. Taxes
All prices are stated exclusive of VAT. We are currently not registered in the Croatian VAT system, and VAT is not charged pursuant to Article 90, paragraphs 1 and 2, of the Croatian VAT Act. If our VAT status changes, or where the law of your country requires it, VAT or the reverse-charge mechanism will be applied as required by law and stated on the invoice.
8. Delivery and review
Deliverables are provided electronically. The work is delivered in review stages; you receive each stage’s output, and your corrections and answers are incorporated before the next stage. If you do not respond for 30 days despite a reminder, we may close the engagement: we deliver the outputs in their current state and invoice the work performed under section 6. The engagement is complete when the final deliverables described in the written confirmation have been provided, or when it is closed under this section.
9. Cancellation of an engagement
Either party may terminate an engagement in writing, with immediate effect. If the engagement is terminated after work has started, we invoice the work performed up to termination. The advance payment under section 6 is not refunded; where the value of the work performed exceeds the advance, the difference is invoiced. Except where mandatory law provides otherwise, amounts invoiced for work already performed are non-refundable.
10. Your content
You retain all rights to the recordings, screenshots, and supporting files you provide, and to the documentation produced from them. You grant us a non-exclusive license to host and process that content solely for the purpose of providing the services to you. You are responsible for ensuring that you have the necessary rights to the material you provide.
11. Confirmation before processing
Before we process your material, you must confirm that it has been prepared for processing, including masking of: names of people; personal identifiers such as email addresses, phone numbers, and staff or customer numbers; bank and payment details; and visible or spoken login credentials. Special categories of personal data (such as data concerning health, religion, ethnicity, trade-union membership, political opinions, or sexual orientation) may not be processed at all and must not be provided to us.
12. Nature of the deliverables
Deliverables are structured drafts intended for expert review. Our process declares gaps rather than guessing: it flags what could not be verified, lists open questions, and marks unclear or contradictory points, and this gap-and-question list is part of the deliverable. You are responsible for reviewing, correcting, and approving all outputs before using them. We do not guarantee that outputs are complete, accurate, or fit for a particular purpose, and no output is verified or certified by us.
13. Acceptable use
You agree not to use the website or our services for any unlawful purpose; not to provide material that infringes the rights of third parties; not to interfere with, probe, or disrupt the website or its infrastructure; and not to resell our deliverables or services to third parties as your own service.
14. Availability and changes
The website is provided as available; maintenance, updates, and circumstances outside our control may cause interruptions, and no specific level of availability is promised. We may change how our services are delivered over time; engagements already confirmed in writing are performed as confirmed.
15. Refusal and termination by us
We may decline an engagement, and we may suspend or terminate an engagement if you materially breach these Terms — including non-payment, unlawful use, or providing material that must not be processed under section 11 — after notifying you where that is reasonable. Section 9 applies to invoicing on termination.
16. Liability
To the extent permitted by law, we are not liable for indirect or consequential damages or for loss of profit, and our total liability arising out of or in connection with the Service is limited to the amount you paid us in the twelve months preceding the event giving rise to the claim. Nothing in these Terms limits or excludes liability for intent or gross negligence, or any other liability that cannot be limited or excluded under Croatian law.
17. Intellectual property of the Service
Our website, software, methods, and the Ballast Protocol and PDD Studio names and materials remain our property or the property of our licensors. These Terms and any engagement grant you only the rights described here and in the written confirmation, and no other rights.
18. Changes to these Terms
We may update these Terms. If a change is material, we will announce it by email or on the website with reasonable advance notice. The version in force when an engagement is confirmed in writing applies to that engagement.
19. Governing law and jurisdiction
These Terms are governed by the law of the Republic of Croatia. Any dispute arising out of or in connection with these Terms or the Service falls under the exclusive jurisdiction of the competent court in Zagreb, without prejudice to mandatory rules on jurisdiction.
